Terms of Service
Effective 1 September 2026
These Terms govern authorized access to and use of Systific, a proprietary business operations service operated by Rizonesoft.
1. Acceptance and customer agreements
By accessing or using Systific, you agree to these Terms and confirm that you are authorized to act for yourself or the organization that issued your account. If a separate written agreement governs your organization's use of Systific, that agreement controls where it conflicts with these Terms.
2. Authorized use
Systific may be used only for legitimate business operations and only within the access granted to you. You must comply with applicable law, your organization's policies, and the permissions and workflow controls presented in the service.
3. Accounts and security
You are responsible for keeping your credentials secure, providing accurate account information, using your own account, and notifying your administrator or Systific contact promptly about suspected unauthorized access. You may not share credentials, bypass access controls, probe restricted areas, or interfere with service security.
4. Customer content
You and your organization retain responsibility for information submitted to Systific. You confirm that you have the authority to provide that information and instruct its processing. You must not upload unlawful, malicious, infringing, or unnecessarily sensitive content.
You grant the service operator the limited rights needed to host, process, back up, display, and transmit that content solely to provide, secure, support, and improve the contracted service.
5. Google Calendar integration
Google Calendar import is optional and must be initiated by an authorized Systific user. The user chooses the Google account, grants read-only Calendar access, explicitly selects calendars, chooses the imported detail level and date window, and may disconnect at any time.
Systific does not create, edit, or delete Google Calendar events. Google services are provided by Google and are also governed by Google's applicable terms and privacy policy. Systific is not responsible for Google's availability, account restrictions, consent decisions, or changes to Google APIs.
Use of information received from Google APIs is governed by our Privacy Policy and follows the Google API Services User Data Policy, including the Limited Use requirements.
6. Acceptable use
You may not use Systific to violate law or third-party rights, distribute malware, send abusive or deceptive content, scrape or export data without authority, reverse engineer protected components except where law expressly permits it, overload the service, or attempt to gain access beyond your assigned permissions.
7. Service operation and changes
We may maintain, update, secure, or change Systific and may temporarily limit access for maintenance, security, legal, or operational reasons. We aim to provide a reliable service but do not promise uninterrupted or error-free availability unless a separate written agreement states otherwise.
8. Intellectual property
Systific, its software, design, branding, documentation, and service materials are proprietary to Rizonesoft or its licensors. These Terms grant only a limited, revocable, non-transferable right to use the service as authorized. They do not transfer ownership of Systific or customer content.
9. Third-party services
Systific may depend on hosting, communications, identity, calendar, monitoring, and other third-party services. Those services may have their own terms and privacy practices. We are not responsible for third-party services outside our reasonable control.
10. Suspension and termination
Access may be suspended or terminated when authorization ends, payment or contractual requirements are not met, these Terms are materially breached, security is at risk, or law requires it. A user may disconnect Google Calendar independently at any time. Data handling after termination follows the applicable customer agreement and our Privacy Policy.
11. Disclaimers
Except for commitments made in a separate written agreement, Systific is provided on an as-available basis. To the extent permitted by law, implied warranties of merchantability, fitness for a particular purpose, and non-infringement are excluded. Systific does not replace professional legal, accounting, employment, security, or business advice.
12. Limitation of liability
To the extent permitted by law and subject to any separate written agreement, the service operator is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data. Any liability that cannot lawfully be excluded remains limited to the extent allowed by applicable law.
13. Governing terms
The governing law, dispute process, fees, service levels, and commercial terms in any separate agreement between the customer organization and service operator remain controlling. Where no separate agreement addresses an issue, applicable law determines the parties' rights and obligations.
14. Changes to these Terms
We may update these Terms when the service, law, or operating arrangements change. The effective date above will be updated when revised Terms are published. Continued use after an update means you accept the revised Terms, subject to any separate agreement.
